Service Upgrades: When a referred customer upgrades an existing service, commissions will apply only to the net increase in recurring revenue resulting from the upgrade. The original service amount will continue under its existing commission rate and recurring commission term. Any additional recurring revenue created by the upgrade will begin a new recurring commission term starting from the effective date of the upgrade. Example: If a customer upgrades from a $200/month service to a $350/month service, the existing $200 remains under its original commission schedule. The additional $150 in monthly recurring revenue is treated as new commissionable MRR and begins a new recurring commission term. Service Replacements and Migrations: If a customer replaces or migrates an existing service to another service, the replacement will not automatically be considered a new referral or new MRR. If the replacement results in an increase in recurring revenue, only the net increase will be treated as new commissionable MRR and will begin a new recurring commission term. Example: If a customer replaces a $200/month service with a $300/month service, only the $100 net increase is considered new commissionable MRR. If the replacement service is equal to or less than the value of the existing service, no additional new MRR or new recurring commission term will be created. New Services and Existing Service Cancellations: If a customer purchases a new service while cancelling, replacing, migrating, or materially reducing an existing service, commission eligibility will be based on the net change in recurring revenue. A replacement order that does not increase the customer's total recurring revenue will not be treated as new MRR for commission or Partner tier qualification purposes. Services cancelled, downgraded, replaced, or migrated within 60 days of a new order may be reviewed together when determining the actual amount of new commissionable MRR. Additional Services: If an existing customer purchases an additional service and retains their existing service, the new service will generally be treated as new commissionable MRR. The additional service will receive the commission rate applicable to the Partner's tier at the time the new service is ordered and will begin its own recurring commission term.

Commissions are only payable on valid, successfully collected revenue. If a customer payment is charged back, refunded, disputed, reversed, written off due to nonpayment, or otherwise not successfully collected by ARPHost, any commission associated with that payment may be withheld, cancelled, or deducted from future Partner commission payments. If a commission has already been paid before the related customer payment is reversed, the applicable commission amount may be offset against future commissions owed to the Partner. Revenue that is charged back, refunded, reversed, or otherwise not successfully collected will not count toward Partner tier qualification or new MRR requirements. If the customer later resumes successful payments and the service remains active and in good standing, recurring commissions may resume on future successfully collected payments, subject to the original commission terms and remaining commission period. Any adjustment will be limited to the commission associated with the affected payment or service.

Recurring commissions on each qualifying referred service may continue for the maximum commission term applicable to the Partner tier or commission plan in effect when the referral is made, provided the service remains active and in good standing. Upon expiration of the applicable commission term, no further Partner commission will be payable for that service unless otherwise agreed to in writing by both parties. Expiration of a commission term does not transfer ownership, control, billing rights, or any other interest in the referred customer or service to the Partner.

Nothing in this Agreement prevents ARPHost and the Partner from mutually agreeing to a different compensation, employment, revenue-sharing, equity, or partnership arrangement in the future. Any such arrangement will be subject to a separate written agreement mutually accepted by both parties.

At any time during the applicable commission term, ARPHost and the Partner may mutually agree in writing to replace some or all remaining Partner commission rights with an alternative compensation arrangement, which may include salary, equity, profit participation, commission, or a combination thereof. Any such conversion will be governed by a separate written agreement that defines the compensation, effective date, treatment of existing referred services, and any remaining Partner commission obligations. Unless and until a separate agreement is executed by both parties, the existing Partner commission terms will remain in effect.
